Jumpstart Our Business Startups

The Jumpstart our Business Startups or JOBS Act was signed into law in 2012 to stimulate funding for small and medium businesses, and was a game changer giving birth to “Crowd Direct Offerings”.

There are three exemptions within the JOBS Act that enable crowdfunding:

Accredited Crowdfunding (Title II)

Issuers may raise an unlimited amount of funds under Regulation D (506c). Issuers may generally solicit or advertise the offer online. Investors must be accredited only. Issuers must verify investors are qualified to invest under this exemption Unlike Reg D (506b) or Private Placement where investors may self-certify but issuers may not advertise.

Regulation Crowdfunding Title II (Reg CF)

This exemption allows a smaller company to raise up to $1.07 million from both accredited and non accredited investors. The offers must follow a rigid set of rules. The offering must be listed on a FINRA approved funding portal or with a Broker Dealer and investors are limited to the amount they may invest.

Reg A+ also referred to as a Mini-IPO (Title IV)

Reg A+ is divided into two tiers. Tier I issuers may raise up to $20 million. Tier 2 may raise up to $50 million. Tier 2 issuers may raise funds from all 50 states and issuers are exempt from state Blue Sky review. Everyone can participate and invest, not just Accredited Investors so the issuer can access 325 million potential investors who live in the United States.

A detailed filing is required and must be provided to the SEC for regulatory approval for the issuer to commence the offer.

Crypto and Blockchain Companies Raising Capital and Simple Agreement for Future Tokens (SAFT)

Raising funds through the sale of a digital currency requires more than just building a blockchain: investors want to know what they are getting into and that the currency will be viable, and they will be legally protected.

While a company raising money through cryptocurrency could bypass using a formal framework, in order to tap into global financial markets, it needs to adhere to international, federal, and state law. One way to do this is by using Simple Agreement for Future Tokens,or SAFT.

Simple Agreement for Future Tokens is a form of investment contract. They were created as a way to help new cryptocurrency ventures raise money without breaking financial regulations; specifically, regulations that govern when an investment is considered a security.

The speed at which cryptocurrencies have grown has far outpaced the speed at which regulators have addressed legal issues. It wasn’t until 2017 that the SEC provided substantial guidance on when the sale of an Initial Coin Offering (ICO) or other tokens would be considered the same as the sale of a security.

When a company sells an investor a SAFT, it is accepting funds from that investor but does not sell, offer, or exchange a coin or token. Instead, the investor receives documentation indicating that, in the event that a cryptocurrency or other product is created, the investor will be given access.
